1. Agreement to Terms

By accessing or using the services provided by Fazper LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Fazper LLC provides technology consulting, software development, AI development, and related services. The specific scope, deliverables, timeline, and pricing for any project will be defined in a separate Statement of Work (SOW) or service agreement.

3. Client Responsibilities

As our client, you agree to:

• Provide accurate and complete information necessary for project completion
• Respond to requests for feedback or approvals in a timely manner
• Pay all fees as outlined in the applicable agreement
• Ensure you have the rights to any materials you provide to us

4. Intellectual Property

Upon full payment, you will own the deliverables created specifically for your project, unless otherwise specified in the project agreement. We retain ownership of:

• Pre-existing tools, frameworks, and code libraries
• General knowledge and skills developed during the project
• Any components designated as reusable in the project agreement

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of our business relationship.

6. Payment Terms

Payment terms, including rates, milestones, and due dates, will be specified in the project agreement. Late payments may incur interest charges and may result in suspension of services until the account is brought current.

7. Limitation of Liability

To the maximum extent permitted by law, Fazper LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services. Our total liability shall not exceed the amounts paid by you for the specific services giving rise to the claim.

8. Warranty Disclaimer

Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, error-free, or meet your specific requirements unless explicitly stated in the project agreement.

9. Termination

Either party may terminate the engagement with written notice as specified in the project agreement. Upon termination, you will pay for all work completed up to the termination date. We will deliver all completed work product upon receipt of final payment.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Wyoming.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
